All information provided on this website operated by UH Community Pty Ltd t/a STAX Platform (“STAX”) pertaining to this offer of securities (“Offer”) is intended for potential investment from prospective Professional and Sophisticated investors (“Wholesale Investor”) in accordance with the Corporations Act 2001 (Cth) (“Act”).

The information pertaining to the Offer was prepared by the issuer of the offered securities (“Issuer”), STAX makes not representations to the accuracy or completeness of the information provided in accordance with the information pertaining to this offer. The information has not been lodged with any governing body including the Australian Securities and Investments Commission (“ASIC”).

I declare and acknowledge that I:

• have read and understood the aforementioned “Important Warning” above;
• am over 18 years of age;
• am a Wholesale Investor in accordance with the Act and that the supporting documentation I have or will provide is valid, true and accurate;
• will notify STAX immediately should I no longer qualify as a Professional or Sophisticated Investor in accordance with the Act;
• indemnify STAX, the Issuer and or its agents should I be deemed by ASIC or any governing body to not meet the requirements of a Wholesale Investor at the point of investing in this Offer;
• understand the information pertaining to theOffer has not been reviewed for accuracy or completeness by STAX or any governing body;
• will treat any information provided by STAX or the Issuer pertaining to the Offer not available in the public domain as confidential and not circulate, disclose or make available to third parties without written consent from STAX unless required to do by law;
• understand that all information pertaining to the Offer remains the absolute property of the Issuer and/or STAX and ownership does not assign to me;
• understand that all communication with the Issuer will be facilitated through STAX unless stated otherwise;
• should any Offer introduced by STAX to me result in a direct investment in the Offer thereby circumventing STAX, I will be liable to pay for any lost commission resulting from such circumvention;
• understand the Offer does not constitute an offer to anyone residing in a jurisdiction where it would be considered unlawful to do so;
• acknowledge it is my obligation to seek independent advice to ensure that I am eligible to receive the Offer as failure to do so may be in contravention of the law;
• am acting in my personal capacity and not on the behalf of another person or legal entity;
• warrant that all information provided as part of my application are correct;
• have read or will read a copy of any documents provided in relation to the Offer (including all subsequent offer information) provided on the website operated by STAX in relation to the Issuer's Offer;
• agree to be bound by the terms and conditions as outlined in any Offer documentation for such application;
• have obtained the necessary consent(s) to disclose to the Issuer information regarding any third party individual or entity;
• will not be able to withdraw my application pertaining to this Offer once the offer has closed;
• am applying for the number of shares in accordance with my application;
• understand the Issuer may reject my application in part or in its entirety without having to provide any justification;
• may be allocated a lower number of shares at the sole discretion of the Issuer;
• agree not to undertake a claim against STAX or the Issuer in respect of the methodology behind how the shares were allocated;
• authorise STAX, the Issuer and their respective employees and agents to act on my behalf in order to do whatever necessary to ensure the shares I have applied for are allocated to me;
• acknowledge the Offer does not constitute an offer to anyone where it is unlawful to do so and it is my responsibility to seek professional advice in accordance to my local jurisdiction;
• understand share and equity issuance may be facilitated by STAX and the shares and equity will not be issued by STAX but by the Issuer;
• understand STAX's website and affiliated services, are regulated under the Act;
• understand that the information and any advice contained on our website or any other material provided by us (STAX) has been prepared without taking into account my personal and financial circumstances and is not a substitute for any disclosure document product, disclosure statement or any other notice that may be required under the Act;
• understand that STAX does not accept responsibility for any financial product advice given to me by any third party or individual who is not a direct employee of STAX and it is my responsibility to consider whether investing in relevant opportunities are appropriate to my personal situation;
• will provide any further information as compelled by law to STAX to provide to the appropriate entity as stated under said law and failure to do so could result in a rejection of my application;
• will not, through my application for shares, cause STAX, the Issuer and any of their agents, partners or representatives to violate any laws;
• consent to STAX in carrying out its services to the Issuer provide information, in accordance with its Privacy Policy, to any third party to register my shareholding on the share register of the Issuer;
• have read and agree to any Terms & Conditions available on the STAX website;
• will indemnify and hold harmless STAX, theIssuer and its officers, employees and agents from and against any claims, proceedings, actions, loss except as permitted to the extent of the law in relation to the completeness and accuracy of the information pertaining to the Offer, my application, its withdrawal or share allocation;
• understand Digital Currencies can be risky and I am aware of the associated risks when utilising Digital Currencies as a mode of payment when making an application;
• understand that if I input an incorrect Digital Currency wallet address, my funds may not be recoverable once transferred and will under no circumstances (whether by email, written, or verbal or any other means of communication) hold STAX, the Issuer and its officers, employees and agents liable for any loss arising out of me providing or inputting an incorrect Digital Currency wallet address.
